Professional camera module manufacturing and OEM customization services agreement
1 Introduction and Acceptance
These Terms of Service ("Terms") govern your use of camera module manufacturing and customization services provided by our company. By engaging our services, placing orders, or entering into agreements with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Our services include but are not limited to: endoscope camera modules, infrared cameras, medical endoscopes, industrial endoscopes, MIPI mobile modules, and comprehensive OEM customization solutions.
2 Service Description
We provide comprehensive camera module manufacturing services including:
- Medical grade endoscope camera modules with certification compliance
- Industrial inspection camera systems for harsh environments
- Infrared and thermal imaging solutions
- MIPI interface mobile camera modules
- Complete OEM customization and one-stop manufacturing services
3 Order and Payment Terms
Order Process: All orders require written confirmation and technical specifications. Custom orders require detailed engineering drawings and performance requirements.
Payment Terms: Standard payment terms are 30% deposit upon order confirmation, 70% balance before shipment. Payment methods include wire transfer, L/C, and other mutually agreed methods.
Pricing: Quoted prices are valid for 30 days unless otherwise specified. Prices may vary based on quantity, specifications, and market conditions.
4 Quality Assurance and Warranty
We maintain strict quality control standards and provide comprehensive testing for all products. Standard warranty period is 12 months from delivery date for manufacturing defects.
Medical grade products comply with relevant international standards and certifications. Industrial products meet IP rating and environmental specifications as agreed.
Warranty excludes damage from misuse, normal wear, unauthorized modifications, or operation outside specified parameters.
5 Intellectual Property Rights
Customer retains ownership of their proprietary designs and specifications. We maintain confidentiality of all customer information and technical data.
We retain rights to our manufacturing processes, general know-how, and standard product designs. Custom tooling ownership terms are specified in individual agreements.
Both parties agree to respect third-party intellectual property rights and ensure all products comply with applicable patent and trademark laws.
6 Limitation of Liability
Our total liability for any claims related to products or services shall not exceed the purchase price of the specific products involved. We are not liable for indirect, consequential, or punitive damages.
Customers are responsible for ensuring products meet their specific application requirements and regulatory compliance in their target markets.
7 Governing Law and Disputes
These Terms are governed by the laws of the People's Republic of China. Any disputes shall be resolved through friendly negotiation first.
If negotiation fails, disputes shall be submitted to arbitration or competent courts as mutually agreed. The prevailing party may recover reasonable attorney fees and costs.
